Welcome to the First Class Tutoring Inc. platform (the “Platform”). These Terms and Conditions (“Terms”) govern your access to and use of our web platform and mobile application (collectively, the “Services”). The Services are owned and operated by First Class Tutoring Inc., located at 350 Higbie Lane, West Islip, New York (“FCT,” “we,” “us,” or “our”).

By creating an account, or by accessing or using the Services in any manner, you (“User,” “you”) agree to be bound by these Terms.

1. Description of Services
   The Platform is a secure management system provided by FCT to School Districts with which we have a contractual relationship. The Services enable authorized School District Administrators and FCT-contracted Tutors to manage student home instruction, including assignments, scheduling, progress reporting, and grades.
   Parents or Legal Guardians (“Guardians”) are not primary users of the Platform. A Guardian’s only interaction with the Service is to provide an electronic signature when a request is sent to them by an authorized Tutor or Administrator.
   
   
2. User Roles and Account Security
   Access to the Services is restricted to authorized users with specific roles:

   School District Administrators: Employees or agents of a School District who are authorized to manage student, tutor, and assignment data on behalf of the district.

   Tutors: Independent contractors or employees of FCT who are authorized to access data for students assigned to them, record session notes, and manage grades.

   Guardians: Individuals with legal guardianship of a student who may receive links to provide electronic signatures.

   You are responsible for maintaining the confidentiality of your account login credentials and are fully responsible for all activities that occur under your account. You agree to immediately notify FCT of any unauthorized use of your account.
   
   

3. Data Ownership and Responsibility
   This is a critical term. FCT is a Data Processor (or “service provider”). The School District is the Data Controller.

   Student Data: All student-related data, including Personally Identifiable Information (PII) from “Education Records” (as defined by FERPA) that is entered into the Platform, is and remains the property of and under the control of the respective School District.

   FCT’s Role: We process this data only on behalf of and at the direction of the School District, as permitted by our contract with them and in strict compliance with federal and state law, including FERPA and NY Ed Law 2-d.

   User Responsibility: Tutors and Administrators agree to access and use student data only for the express purpose of providing and managing the contracted educational services.
   
   

4. Acceptable Use
   You agree not to use the Services for any purpose that is unlawful or prohibited by these Terms. You shall not:
   Share your account credentials with any unauthorized person.
   Access or attempt to access data for any student to whom you are not assigned.
   Use any student data for any purpose other than providing the authorized tutoring and reporting services.
   Copy, download, screen-shot, or otherwise exfiltrate data from the Platform, except as required for authorized reporting to the School District.
   Attempt to reverse-engineer, decompile, or otherwise disrupt the integrity or performance of the Services.
   Upload any content that contains viruses, malware, or is otherwise malicious.
   
   
5. Intellectual Property
   FCT and its licensors retain all right, title, and interest in and to the Services, including all related software, code, user interfaces, and “look and feel.” These Terms do not grant you any rights to use FCT’s trademarks or other brand elements. As stated in Section 3, the School District retains all rights to the Student Data.
   
   
6. Termination
   Your right to access and use the Services is provided at the discretion of FCT and the School District you are associated with. We may suspend or terminate your access at any time, without notice, for any breach of these Terms or at the direction of the School District.
   
   
7. Disclaimers and Limitation of Liability
   The Services are provided “AS IS” and “AS AVAILABLE” without any warranties, express or implied. FCT does not warrant that the Services will be uninterrupted, error-free, or completely secure.

   To the fullest extent permitted by law, FCT shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your access to or use of the Services.
   
   

8. Governing Law
   These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.
   
   
9. Changes to Terms
   We reserve the right to modify these Terms at any time. We will provide notice of any material changes (e.g., via email or a notification on the Platform). Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
